Registering a company in Hong Kong does not move your personal tax position. If you are a Russian tax resident, your stake becomes a reporting obligation almost immediately. The first deadline arrives long before the company earns anything.
Hong Kong company CFC rules are not a Hong Kong problem. They are a home-country problem created by owning a foreign company. The penalties for missing them are fixed amounts that apply whether the company made a profit or a loss.

What a Controlled Foreign Company Is
A controlled foreign company, or CFC, is a company that is not tax resident in your country but is controlled by someone who is. Most countries with a CFC regime tax the controlling person on the company's profits, whether or not those profits are ever paid out as dividends.

The Russian Regime
Russia's controlled foreign company rules sit in the Tax Code and apply to both individuals and companies that are Russian tax residents.

That last row matters. Control can be found from the ability to influence decisions about profit distribution, even where the formal shareholding is small or held through someone else.
Two Separate Filings
Founders often conflate these. They are different filings with different triggers and different deadlines.
Notification of participation is due within three months of acquiring a stake above 10% in a foreign company. This is triggered by the acquisition itself, not by any profit.
CFC notification is an annual filing. For individuals the deadline is April 30 of the year following the reporting period, and for organisations it is March 20. It is required even when the CFC made a loss, and even when its profit is exempt.
A founder who incorporates in March has a participation notification due by June. The first CFC notification then falls due the following spring.
The Profit Threshold
CFC profit below 10 million roubles is not taxed. That threshold removes the tax charge, not the filings. You still notify, and you still file.
Where profit exceeds the threshold, it is attributed to the controlling person and taxed at their rate. Profit is reduced by dividends the CFC pays in the following calendar year, which is one reason distribution timing matters.
The Fixed Profit Regime
Individuals may elect to pay tax on a fixed notional profit instead of actual CFC profit. The election simplifies reporting substantially, but it locks you in for a set number of years and cannot be combined with certain exemptions. It suits owners of several profitable foreign companies and rarely suits a single small one.

None of these depends on the company having made money. A dormant Hong Kong company with no bank account still generates the obligation, and still generates the penalty if the filing is missed.
Why the Company Will Be Visible
Some founders assume a small foreign company simply will not be noticed. That assumption has aged badly.

Plan on the basis that the structure is visible. A voluntary filing costs a few hours. An unreported company discovered through information exchange costs considerably more.
The Wider CIS Picture
CFC regimes differ across the region, and the differences matter when choosing where to be resident.
Kazakhstan operates a CFC regime built around control of 25% or more combined with a low-tax test. A foreign company is generally caught where its effective income tax rate is below 10%, or where it sits in a listed jurisdiction. That test has a direct consequence for Hong Kong structures. A company paying Hong Kong profits tax at the normal rate looks different from one whose profits are exempt under an offshore claim. The offshore-exempt company is far more likely to fall inside the regime.
Georgia does not operate a CFC regime in the Russian style. How foreign income of a Georgian tax resident is treated depends on source rules. Advisers have read that question differently, so confirm your position locally rather than assuming an exemption.

If You Change Tax Residence
Residence is what triggers the obligation, so changing it changes the picture. Two points are worth understanding.
First, the obligation follows the year. If you were resident for the relevant period, the filings for that period remain due even after you leave.
Second, leaving is a factual test rather than a formality. Days present, centre of vital interests, and available housing all feed into it, and different countries apply different tests. Assuming you have ceased residence without confirming it is a common and expensive error.
Getting the Filings Right
Three habits keep this manageable.
Diary the deadlines the day you incorporate. The participation notification is the one most often missed, because it falls before anything has happened commercially.
