FAQ

Frequently Asked Questions

Everything you need to know about registering a company in Hong Kong.

No. Hong Kong company registration with LAINEXUS is 100% remote. You never need to visit Hong Kong, and all documents are submitted electronically through our secure online system.

Yes. Hong Kong allows 100% foreign ownership, with no nationality rules for shareholders or directors and no need for a local partner. Company registration in Hong Kong for foreigners follows the same steps as for residents.

The minimum is one share, so you can start with HK$1 (about USD 0.13). There is no maximum, and many companies issue HK$10,000. Hong Kong abolished authorized capital and par value in 2014, so you only declare the capital you actually issue.

With LAINEXUS, it usually takes 1-2 business days from the time we receive all required documents. The Companies Registry processes most electronic applications in about 1 hour.

Yes, in two ways. An overseas company can set up a Hong Kong subsidiary, which is a new local limited company (the service on this page). Or it can register as a non-Hong Kong company (a branch) with the Companies Registry within one month of opening a place of business in Hong Kong. A subsidiary keeps the parent company's liability separate from its Hong Kong operations. Not sure which route fits? Ask in your free consultation.

For every shareholder and director: a valid passport copy and proof of address (a utility bill or bank statement from the last 3 months). For the company: your preferred English and/or Chinese name and a short business description.

Not legally — a foreign director is permitted. However, having a local Hong Kong director is recommended for banking purposes, as some banks prefer or require a local director. LAINEXUS can provide a nominee director service.

Your company pays Hong Kong Profits Tax (8.25% to 16.5%) on Hong Kong-sourced profits only. Each year you file a Profits Tax Return with the IRD and have your accounts audited by a local CPA.

Yes. A Hong Kong company can open corporate bank accounts in many countries. The structure is well recognized and accepted by most international banks.

A Hong Kong company costs more and has more compliance work, but it carries much higher credibility, gives access to Hong Kong banking and has active tax treaties. A BVI company is cheaper and more private but has less banking access. Speak to our team for advice on your case.

Each year you renew your Business Registration Certificate (HK$2,350 for one year), file your Annual Return (HK$105), hold or waive your AGM, and get a CPA audit. LAINEXUS offers an annual compliance package that covers all of this.

Your Business Registration Number (BRN) is the first 8 digits of the number on your Business Registration Certificate. For companies formed since 27 December 2023, the same number also appears as the company number on the Certificate of Incorporation. LAINEXUS includes your BRN in the documents we deliver, so you don't need to look it up.

You can verify any Hong Kong company's registration number, current legal status, and filing history online through the official Hong Kong Companies Registry e-Services Portal at www.e-services.cr.gov.hk. Basic company name and registration status searches can be conducted free of charge without creating an account. If you require official certified copies of filings or full company particulars, statutory registry fees apply.

Since 27 December 2023, Hong Kong uses one main number for each company. The company registration number on a new company's Certificate of Incorporation is its Business Registration Number (BRN), which has 8 digits and is also the company's Unique Business Identifier. Companies formed before that date also have an older Companies Registry (CR) number, usually 7 digits, which stays valid.

The Companies Registry issues it digitally once your application is approved, usually within 1 to 2 business days with LAINEXUS. It shows your company name, company number (your BRN) and date of incorporation. We send it to you with your Business Registration Certificate and other formation documents as soon as it is issued. If you need a notarized or apostilled copy for use abroad, our notarization service handles it.
