Why Singapore

Why Choose Company Registration in Singapore

Singapore is a small country with an outsized reputation among banks, investors and customers. A Singapore Pte Ltd is recognised almost everywhere, which makes cross-border contracts, payment accounts and fundraising easier. These are the reasons founders keep choosing it.

A fast, digital registry. ACRA, the Accounting and Corporate Regulatory Authority, runs the company register online. Straightforward applications can be approved within hours, and you receive a digital business profile with your Unique Entity Number (UEN).

A competitive tax system. The headline corporate tax rate is 17%, and new companies can cut the effective rate sharply in their first three years of assessment. Singapore does not tax capital gains, and dividends paid by a Singapore company are not taxed again in the hands of shareholders.

Simple ownership rules. One shareholder can own the entire company, and there is no nationality restriction on shareholders. Minimum paid-up capital is S$1.

Credibility and stability. Singapore holds a AAA sovereign credit rating, has a respected common-law legal system, and offers an extensive network of double tax agreements. Banks and venture investors know how a Singapore company works.

A regional base. Many founders use a Singapore company as the contracting entity for customers, suppliers and investors across Southeast Asia.

An honest trade-off. Singapore is not a zero-tax jurisdiction, and it asks for real compliance every year. If you need the lightest possible regime, our team can compare it against the other company registration jurisdictions we cover before you commit.

Is This Right for You?

Who This Service Is Best For

Entrepreneur working globally

Perfect for you if...

  • You want a reputable base for Southeast Asian operations
  • You need access to Singapore banking, investors and venture capital
  • You plan to use Singapore's network of double tax agreements
  • You run a high-growth tech, SaaS, trading or holding business
  • You value political stability and strong rule of law
Different jurisdiction options

May not be ideal if...

  • You need a very low-cost jurisdiction with minimal compliance, in which case Seychelles or BVI may fit better
  • You need anonymity, because director and shareholder details appear in ACRA records
  • You operate mainly in a high-tax country and expect aggressive tax structuring to work
  • You want zero annual upkeep, because Singapore requires an annual return, a company secretary and accounts

Opening a Corporate Bank Account in Singapore

Banking options in Singapore:
DBSOCBCUOBStandard Chartered

Singapore is a global banking hub, but banks screen new companies carefully. Most ask for a business plan, proof of business activity and an interview with the directors, either in person or by video.

Traditional banks such as DBS, OCBC, UOB and Standard Chartered offer the fullest services and the strongest credibility. Opening usually takes two to four weeks and involves more paperwork. Digital business accounts from providers such as Aspire, Wise, Airwallex and Statrys can often be opened remotely within about a week and handle multiple currencies well, although they are not full banks.

Account approval is always the bank's own decision, so we set expectations honestly and prepare the strongest possible file.

Professional reviewing corporate banking documents

Our corporate bank account opening service helps you:

  • 01 Choose the banking route that fits your business type
  • 02 Prepare application documents and an introduction letter
  • 03 Write a clear business plan and source-of-funds explanation

Tax & Compliance

Singapore Tax and Annual Compliance

Here is what a Singapore company pays and files each year, and the deadlines our team tracks for you.

Corporate Income Tax

The headline rate is 17% of chargeable income. Two exemption schemes lower what most small companies actually pay.

Headline rate 17%
Start-up scheme: first S$100k 4.25%*
Start-up scheme: next S$100k 8.5%*
Partial scheme: first S$10k 4.25%*
Partial scheme: next S$190k 8.5%*

*Effective rates. The Start-Up Tax Exemption covers qualifying new companies for their first 3 years of assessment and excludes property development and investment holding companies. Other companies get the Partial Tax Exemption every year. We check eligibility before we tell you what to expect.

Tax Residence and Real Substance

A company is tax resident in Singapore when it is managed and controlled there. IRAS has pointed to structures where the only local director is a nominee, the rest of the board lives abroad and no real decisions are made in Singapore as a risk factor. Plan where decisions are genuinely taken, and talk to us about it early.

Annual Return and AGM

A private company holds its annual general meeting within 6 months of its financial year end and files its annual return with ACRA within 7 months. Small private companies can dispense with the AGM if all shareholders agree. Late filing can lead to penalties starting from S$300.

ACRA annual return fee: S$60
Company secretary and annual return filing: from S$380 per year
Our company secretary service tracks these dates for you.

Audit Exemption

A company is a "small company" and exempt from audit if it meets at least two of three tests: annual revenue of S$10 million or less, total assets of S$10 million or less, and 50 employees or fewer. No application to ACRA is needed, and you still have to prepare financial statements.

A company that does not qualify must appoint an auditor, in the first year within 3 months of incorporation.

ECI and Tax Return Filing

Estimated Chargeable Income (ECI) is due within 3 months of the financial year end, unless the company qualifies for a filing waiver. The tax return (Form C-S or Form C) follows, with an annual deadline of 30 November.

Our taxation and accounting teams prepare and file both.

GST

Singapore's Goods and Services Tax is 9%. Registration is mandatory only when taxable turnover passes S$1 million in a 12-month period, or you expect it to.

Voluntary registration is available below that level, with a minimum two-year commitment.
